Parties
This agreement is entered into between:
Pride Car Shipping Inc, a corporation organized under the laws of the State of Delaware, doing business as Haulix (“Company”), and
The individual or entity using the Haulix platform (“Customer”).
Customer acknowledges that “Haulix” is a trade name and not a separate legal entity.

Platform Overview
Company provides a technology platform that enables Customers and third-party carriers to connect, communicate, and arrange transportation services.
Customer acknowledges that Company operates as a platform and does not control or supervise carriers.
Broker Status
Company is a licensed transportation broker and is NOT a motor carrier.
Company does not transport vehicles and does not take possession of any shipment at any time.
All transportation services are performed solely by independent third-party carriers.
No Control Over Carriers
Company does not control, direct, or supervise carriers, drivers, or transport operations.
Company does not guarantee:
carrier availability
carrier performance
delivery timelines
safety or security of transport
5. Limitation of Liability
In no event shall Company be liable for any damages exceeding the total amount of the deposit paid by the Customer.
Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to:
loss of use
loss of value
delays
emotional distress
denied insurance claims
6. No Liability for Carriers & Insurance
Company shall not be liable for:
acts or omissions of any carrier
negligence or misconduct of carriers
insurance failures or denied claims
Customer acknowledges that all carriers are independent contractors and not employees or agents of Company.
Company does not verify or guarantee the validity, scope, or applicability of any carrier insurance policy.
Fraud, Hacking & Impersonation
Company shall not be liable for any loss arising from:
fraud
impersonation
hacking
unauthorized communications
Customer assumes full responsibility for verifying the identity of any person claiming to represent a carrier.
Communications Disclaimer
Company is not responsible for communications outside official Haulix channels.
Customer assumes all risk for acting on third-party communications.
Customer Responsibilities
Customer is solely responsible for:
verifying carrier identity
inspecting the vehicle
completing the Bill of Lading (BOL)
remaining reachable
🚨 Vehicle Release Requirements (CRITICAL)
Customer shall NOT release the vehicle unless ALL of the following conditions are met:
Driver presents a valid Bill of Lading (BOL)
Carrier name EXACTLY matches assigned carrier
USDOT and/or MC matches assigned carrier
Driver identity reasonably matches provided details
🔒 Insurance Verification Disclaimer
Customer acknowledges that:
insurance may apply only to specific vehicles
coverage may be limited or denied
Company does NOT verify insurance coverage or applicability.
Customer assumes full responsibility for confirming insurance coverage prior to release.
🚨 Critical Rule
Customer shall NOT release the vehicle to:
any third party
any unverified individual
any person not matching the assigned carrier
Customer assumes FULL responsibility for:
improper release
failure to verify carrier
any resulting loss, theft, damage, or denied insurance claim
10. Personal Property
No personal items are permitted in the vehicle.
Company has no liability for any personal property.
Waiver of Claims
Customer agrees to release and hold harmless Company from any claims, including negligence or misrepresentation.
Indemnification
Customer agrees to indemnify Company against any claims arising from:
Customer actions
misuse of platform
improper vehicle release
13. Arbitration (MANDATORY)
All disputes shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA).
Customer waives the right to court proceedings and jury trial.
Class Action Waiver
Customer agrees to bring claims individually and waives class actions.
Governing Law
Delaware law governs these Terms.
Payments
Deposits are non-refundable once a carrier is assigned.
No Guarantees
Company makes no guarantees regarding: pricing, timing availability
18. Acceptance
By using the platform, Customer agrees to these Terms.
